Terms of Service

Welcome to Bondiu. These Terms of Service (“Terms”) are a legally binding agreement between you and Bondiu, Inc. (“Bondiu,” “we,” “us,” or “our”) governing your access to and use of our website at www.bondiu.com, our mobile application, and all related features, content, and services (collectively, the “Services”).

Please read these Terms carefully before using our Services. By creating an account, clicking “Agree,” or otherwise accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use our Services.

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

Important: Meeting other Bondiu users in person carries inherent risks. Bondiu does not conduct criminal background checks. You expressly assume all risks associated with in-person meetings. See Section 6 for full details.

1. Eligibility

You must be at least 18 years old to use our Services. By using Bondiu, you represent and warrant that:

• You are at least 18 years of age;
• You have the legal capacity to enter into a binding agreement;
• You are not prohibited from using the Services under any applicable law;
• You have not been previously banned from Bondiu for violating these Terms or our Community Guidelines.

If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Your Account

2.1 Account Creation

To access most features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You may register using your email address and a password, or via Google single sign-on (SSO).

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.

2.3 One Account Per Person

You may only create and maintain one Bondiu account. Creating duplicate accounts, sharing your account with another person, or accessing another user’s account is prohibited.

2.4 Identity Verification

We may verify your identity against public records during or after registration. By signing up, you consent to this verification process. We reserve the right to suspend or terminate accounts that cannot be verified or that appear to use false identities.

3. The Services

3.1 What Bondiu Provides

Bondiu is a platform designed to help people build real-world friendships through small, curated social circles (“Circles”) and low-commitment group meetups (“Open Hangouts”). Our Services include profile creation and matching, Circle discovery and membership, hangout creation and RSVP, in-app chat, SMS notifications, photo sharing, and Hangout Reels.

3.2 We Are Not a Dating App

Bondiu is designed exclusively for platonic social connection. Use of the Services for romantic solicitation, sexual communication, or dating is prohibited and may result in immediate account termination.

3.3 Service Availability

We strive to keep the Services available at all times but do not guarantee uninterrupted access. We may suspend, modify, or discontinue any part of the Services at any time without prior notice, though we will endeavor to provide reasonable advance notice for significant changes.

3.4 SMS Communications

By providing your phone number and using our Services, you consent to receive SMS messages from Bondiu including hangout notifications, RSVP confirmations, and platform alerts. Standard message and data rates may apply. You may opt out of SMS notifications at any time by replying STOP to any Bondiu message or adjusting your notification settings in the app. Note that opting out may limit certain SMS-dependent features.

4. User Content

4.1 Content You Post

Our Services allow you to post, upload, and share content including profile photos, bios, hangout photos, chat messages, and Hangout Reels (collectively, “User Content”). You retain ownership of your User Content.

4.2 License to Bondiu

By posting User Content on the Services, you grant Bondiu a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, host, store, reproduce, modify, display, and distribute your User Content solely for the purposes of operating, improving, and promoting the Services. This license ends when you delete your User Content or account, subject to content already shared with other users or distributed via Hangout Reels.

4.3 Content Standards

You are solely responsible for your User Content. You represent and warrant that your User Content:

• Is accurate and not misleading;
• Does not violate any applicable law or regulation;
• Does not infringe the intellectual property, privacy, or other rights of any third party;
• Does not contain nudity, sexually explicit material, or content that sexualizes minors in any way;
• Does not include hate speech, threats, harassment, or content that promotes violence or discrimination;
• Does not contain spam, commercial solicitations, or multi-level marketing content;
• Is an authentic representation of you and does not impersonate any person or entity.

4.4 Photos

Profile photos must include or clearly represent you. You may not use photos of other people, celebrities, fictional characters, or AI-generated images as your profile photo. Hangout photos you share within Circles or Open Hangouts may be compiled into Hangout Reels. By uploading hangout photos, you consent to their inclusion in Reels shared by circle members.

4.5 Our Right to Remove Content

We reserve the right (but have no obligation) to review, remove, or restrict access to any User Content that we determine, in our sole discretion, violates these Terms, our Community Guidelines, or is otherwise harmful to users or the platform. We will not be liable for any action taken or not taken with respect to User Content.

5. Community Guidelines and Code of Conduct

Bondiu exists to help people build meaningful, safe, real-world friendships. All users must abide by the following Code of Conduct at all times, both within the app and at in-person hangouts and events arranged through the platform.

5.1 Respect and Inclusion

• Treat all members with kindness, respect, and dignity.
• Harassment, bullying, intimidation, or abusive behavior of any kind is strictly prohibited.
• Hate speech, discrimination, or content targeting individuals based on race, ethnicity, gender, gender identity, sexual orientation, religion, disability, national origin, or any other protected characteristic is prohibited.

5.2 Authenticity

• Your profile must be a genuine representation of who you are.
• Impersonating another person, creating fake profiles, or misrepresenting your identity is prohibited.
• You may not use Bondiu to deceive, manipulate, or defraud other users.

5.3 Safety

• Violence, threats of violence, or content that encourages dangerous or illegal activity is strictly prohibited.
• You agree not to solicit personal financial information, passwords, or other sensitive information from other users.
• Commercial solicitation, multi-level marketing (MLM) pitches, and spam are prohibited. Repeated violations will result in immediate account termination.
• You agree not to meet with other users in unsafe, isolated, or private locations for initial hangouts. We strongly encourage first meetings in public spaces.

5.4 Privacy

• Do not share another user’s personal information (including photos, contact details, or location) outside the platform without their explicit consent.
• Recording other users (audio or video) without their consent at hangouts is prohibited.

5.5 Child Safety

Bondiu has a zero-tolerance policy for any content or behavior involving the exploitation or sexualization of minors. Any such content will result in immediate account termination and reporting to the National Center for Missing and Exploited Children (NCMEC) and applicable law enforcement authorities.

5.6 Enforcement

Violations of these guidelines may result in content removal, temporary suspension, or permanent account termination, at our sole discretion. Users reported and removed from two or more Circles for violations may be permanently banned from the platform. We reserve the right to report illegal conduct to law enforcement.

6. In-Person Meetup Risks and Assumption of Risk

Bondiu facilitates connections between users, but all in-person meetings arranged through the platform occur entirely outside of Bondiu’s control. By using the Services, you expressly acknowledge and assume all risks associated with meeting other users in person.

Bondiu does not conduct criminal background checks, identity verification beyond basic account confirmation, or behavioral screening of any kind on its users. We cannot guarantee that any user is who they claim to be, that their intentions are benign, or that they will comply with our Community Guidelines off-platform.

You are solely responsible for your own safety and the decisions you make about when, where, and with whom you meet in person. Bondiu strongly recommends that you:

• Meet for the first time in a well-lit, public location with other people present;
• Tell a trusted friend or family member where you are going and who you are meeting;
• Arrange your own transportation to and from the meetup;
• Trust your instincts — if something feels wrong, leave;
• Contact local emergency services (911 in the United States) if you feel unsafe.

Bondiu does not provide access to emergency services and is not a substitute for law enforcement or personal safety planning.

Your use of the Services to arrange in-person meetings constitutes your express assumption of all risks associated with such meetings, including but not limited to the risk of physical harm, emotional harm, property damage, or other injury caused by other users.

7. Circles and Open Hangouts

7.1 Circle Membership

Circles are small, recurring groups of compatible users. Membership is subject to a majority vote by existing Circle members after attending a guest hangout, or by direct invitation from a current member. Circle membership is a privilege, not a right. We do not guarantee any user acceptance into any Circle.

7.2 Circle Creators and Members

Any user may create a Circle and set its name, description, activity focus, meeting cadence, vibe, norms, and size cap. Circle creators and members share responsibility for maintaining a safe, welcoming environment consistent with these Terms and our Community Guidelines. Circles do not have formal admins; governance is shared among members.

7.3 Inactive Circles

Circles that have not held a hangout in 60 or more days will be marked as inactive and removed from the Discovery tab. Members will be notified before archival.

7.4 Open Hangouts

Open Hangouts are one-time, low-commitment meetups open to any Bondiu user. By RSVPing to an Open Hangout, you consent to being matched with 4–8 compatible users. Exact location details are shared 24 hours prior to the hangout. We are not responsible for the conduct of attendees at Open Hangouts or any other in-person events arranged through the platform.

7.5 Shareable Links

Circle members may generate shareable links to public hangouts. Anyone with such a link may sign up for Bondiu and attend. You are responsible for the links you share and should exercise judgment about who you share them with.

8. Fees, Subscriptions, and Payments

8.1 Free Tier

Bondiu offers a free tier that allows users to join one Circle, attend Open Hangouts, and access basic chat and RSVP features. No payment information is required for free tier access.

8.2 Bondiu Pro

Bondiu Pro is a paid subscription currently priced at $20/month. Bondiu Pro unlocks multiple Circle memberships, priority placement in Discovery, Circle health dashboards, Hangout Reels, and structured engagement tools. The Bondiu Pro paywall is triggered after you attend your first hangout.

8.3 Billing and Renewal

Bondiu Pro subscriptions are billed monthly on the anniversary of your subscription start date. Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date. All payments are processed by Stripe. By subscribing, you authorize Bondiu to charge your payment method on a recurring basis.

8.4 Cancellation and Refunds

You may cancel your Bondiu Pro subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain Pro access until that date. We do not offer refunds for partial billing periods except where required by applicable law.

8.5 Price Changes

We may change subscription pricing at any time. We will provide at least 30 days’ advance notice of any price increase, and the new price will take effect at your next renewal.

8.6 Taxes

You are responsible for any applicable taxes associated with your subscription. Where required by law, we will collect and remit applicable taxes.

9. Intellectual Property

9.1 Bondiu’s Intellectual Property

All content, features, and functionality of the Services — including but not limited to the Bondiu name and logo, software, design, text, graphics, and the matching algorithm — are owned by Bondiu, Inc. and are protected by U.S. and international intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on our intellectual property without our prior written consent.

9.2 Feedback

If you submit suggestions, ideas, or feedback about our Services (“Feedback”), you grant us a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose without any obligation or compensation to you.

10. Privacy

Your use of the Services is subject to our Privacy Policy, available at www.bondiu.com/privacy. Our Privacy Policy explains how we collect, use, and share your personal information. By using the Services, you consent to our data practices as described in the Privacy Policy.

11. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, platforms, or services (including Instagram, TikTok, WhatsApp, Google, and Stripe). These third parties have their own terms and privacy policies, which you should review. We are not responsible for the content, practices, or availability of third-party services and do not endorse them.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that: (a) the Services will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Services are free of viruses or harmful components; or (d) results obtained from using the Services will be accurate or reliable.

Bondiu does not conduct criminal background checks on users. We are not responsible for the conduct of any user on or off the platform. For a full description of in-person meetup risks and your express assumption of those risks, see Section 6.

Bondiu does not provide access to emergency services. In an emergency, contact the appropriate public safety authorities (911 in the United States).

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BONDIU, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL AMOUNT YOU PAID TO BONDIU IN THE 12 MONTHS PRECEDING THE CLAIM.

Without limiting the foregoing, Bondiu will not be liable for any harm, injury, loss, or damage — whether physical, emotional, financial, or otherwise — arising from your decision to meet another user in person, regardless of how that meeting was arranged or facilitated through the Services.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Bondiu, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your conduct at, travel to or from, or participation in any in-person hangout, event, or meeting arranged through or facilitated by the Services, including any harm you cause to or suffer from another user.

15. Termination

15.1 By You

You may delete your account and stop using the Services at any time through the account settings in the app. Deletion requests are processed within 30 days. Cancelling your account does not entitle you to a refund of any prepaid subscription fees.

15.2 By Bondiu

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to violation of these Terms or our Community Guidelines, conduct harmful to other users or to Bondiu, or extended inactivity.

15.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Sections 4.2, 9, 12, 13, 14, and 16 of these Terms survive termination.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and any disputes arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

16.2 Informal Resolution

Before filing any formal legal claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days. We will attempt to do the same.

16.3 Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek emergency or preliminary injunctive relief in a court of competent jurisdiction.

16.4 Class Action Waiver

YOU AND BONDIU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable, the arbitration provision will not apply.

16.5 Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.

17. General Provisions

Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and Bondiu with respect to the Services and supersede all prior agreements.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

No Third-Party Beneficiaries. These Terms do not confer any rights or remedies on any third party.

Force Majeure. We will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet outages.
